The law is opening a path.
Nigeria’s Investments and Securities Act 2025 treats a digital asset that is a debt or equity claim as a security, and it describes how a platform would register. That is the path we are built toward. We have not filed.
AptBlack
You can buy the fuel, pay the freight, rent the room, and eat the harvest — and still hold no claim on the business that took the money.
You already participate
Four ordinary payments. Each one keeps a business open. None of them puts your name on it.
01 / 04
I buy fuel.
A forecourt takes the money.
The station stays someone else’s.
You already participate.
Fuel. Rent. Freight. Food. The economy does not need you to understand it. It already takes the money.
Participation is not ownership.
What if it could be?
Why it stays out of reach
What AptBlack is building
Things with customers, not themes with tickers.
A named company. Cash you can check. A claim small enough to hold. The first asset is still ahead of us. What you can do here is see what that claim would refer to.
Illustrative example — not an AptBlack offering
Imagine a stake in a business that already has customers. Pick one. Move the amount. Watch a counted share appear.
The business
Fuel retail
The asset
One operating forecourt
Ownership structure
Units in the company that runs the station. The stake is in the business, not in a barrel of fuel.
The example
This example is fictional. It shows how ownership could be represented. It is not an investment opportunity, and cash flow is not a coupon.
What could ownership look like?
Example cheque₦50,000
0.020%
200 of 1,000,000 illustrative units, in a company valued here at ₦250,000,000.
How it would actually move
A company, examined, written down, then recorded in someone’s name. We have not run this yet.
01 / 06
It starts with one operator people already pay. A forecourt. A farm. A yard. A building. Something with customers.
The real asset comes first: the company, the title, the rights. If we use a chain, it keeps a record of who holds the claim, and makes that record hard to quietly rewrite. We are not putting a picture of a business on a chain and calling that ownership.
A named operating company. Cash flow that can be checked by someone who is not the promoter. Legal title that survives a review. Counsel engaged to structure the claim. No business has cleared this, because no business has been signed.
The asset. The rights. The fees — a structuring fee and an annual management fee taken before any distribution, not a token price. The risks: fuel price, foreign exchange, vacancy, spoilage, a contract that ends. What happens if the business underperforms. No offering document exists.
Client funds, if they are ever taken, would sit with a named licensed custodian. No custodian is named. No client money is being accepted.
A business can earn less than anyone hoped. The rules can take longer than we want. One asset and one country is a concentration. Once a structure is public, someone else can copy it. None of this has been tested in market, because we have not run it.
The products
AptBlack is the infrastructure. The Seed, The Haven, and xHost are different ways into it. A business finding capital. A person finding property. One account that holds both.
AptBlack
The foundation
The foundation: a disclosed fraction of one underwritten business at a time.
For businesses
Where a vetted business meets the people who would own it.
The Seed is where a vetted business raises from the people who would become its owners. Same standard we use for a company we originate ourselves, extended to one we did not. A business with customers, meeting capital. It follows the foundation, once that foundation has a record of its own.
Businesses to capital. People to property. One account into both. Same machine.
We build in this order: the foundation, then The Seed, then xHost, then The Haven. Each door waits until the one before it has a real operating record.
Why now
Nigeria’s Investments and Securities Act 2025 treats a digital asset that is a debt or equity claim as a security, and it describes how a platform would register. That is the path we are built toward. We have not filed.
Chainalysis estimated about $92.1 billion in on-chain value received by Nigerians in the year to mid-2025. Mostly hedging and sending money home. The trust is already there. That figure is not ours.
About 242.4 million people. Median age 18.3. A generation already spending into these businesses, growing up beside digital rails. Ownership has not followed the spending.
People are already on digital rails. The question is whether those rails can hold a stake in a real business.
Where we are
The thesis, the architecture, and this invitation. The operating company, the counsel, and the first asset are the work in front of us.
Register the company. Engage counsel. Find a first asset that can survive diligence. In that order.
Before anyone invests, one named business needs a disclosure: the rights, the risks, the fees, and what happens if the year is bad. The first shape we intend is a private placement to a capped, identified group, alongside a platform filing. Not a public sale.
A person holds a recorded interest in a forecourt, a yard, a building, or a farm — and can read the year. The Seed, The Haven, and xHost are how they would use it.
This is not an offer of securities. We will not publish a yield, call an introduction a partnership, or treat a drawing as an asset. No approval is held.
A picture of the aim — not a catalogue
If this works, a record sits on businesses that already have customers. Energy, food, freight, shelter. The drawings are the aim. None of them is listed.
If you need the line drawn
No. If a chain is used, it records a legal claim. The chain does not create the ownership.
No. There is no offering, no first asset, and no allocation. Asking to be told when something is real does not reserve a stake.
No. A business can lose money. Nothing is being paid, because no stake is held yet. The figures above are an illustration of how a fraction could be counted.
No. Nigeria’s Investments and Securities Act 2025 treats a digital asset that is a debt or equity claim as a security, and it describes a Digital Asset Offering Platform registration. AptBlack has not filed, has not engaged securities counsel, and holds no approval.
Not yet. Nigerian company registration is still in front of us, along with counsel and a filing to operate as a digital-asset offering platform.
Chainalysis, in its 2025 Geography of Cryptocurrency Report, estimated that Nigerians received about $92.1 billion in on-chain value in the year to mid-2025, and ranked Nigeria second for grassroots adoption. People already trust digital rails, mostly to hedge and to send money. That figure is not ours.
Walk with it
We are building the infrastructure now. If you want to know when a real asset is ready, if you run a business that should be on these rails, or if you want to help build what comes next — leave your details. No allocation. No account. No investment. A way to stay connected.
